Our job is to organize the review environment around a transferable tax credit transaction so the client's CPA, tax counsel, family office, or finance team has clean documentation, clear answers, and an organized counterparty to work with.
If you've spent any time looking at this market, you already know the problem: the credits are real, the framework is real, but the experience of running a transaction can be chaotic. Who generated the credit, and what is their operating history?
Has IRS pre-registration been completed? Can I see the confirmation?
Is there a third-party Life Cycle Assessment with ISO methodology?
Has a Validation and Verification Body independently certified the field operations?
Is there a formal tax opinion — not a summary memo — with buyer reliance language?
Does the opinion specifically address §45Q qualification, §6418 transfer characterization, and §469 interaction?
How is recapture risk allocated in the purchase agreement?
Is tax liability insurance available, and what does it cover?
What does the Form 3800 filing process look like, and what support is provided?
Will you coordinate directly with my CPA and tax counsel, or am I managing that myself?
A credible process answers every one of these questions on request. If a counterparty cannot, that is your answer.
